Codex Terms & Conditions

Use of OpenAI Codex during the beta preview (the “Beta Preview”) is subject to the OpenAI API Terms of Use and these Additional Terms and Conditions for the OpenAI Codex Beta Preview (the “Preview Terms”). Acceptance of these Preview Terms is a condition to (a) you joining the waitlist for this Beta Preview and (b) you using OpenAI Codex during the Beta Preview. If you do not agree with these Preview Terms, do not accept them, and do not join the Beta Preview waitlist. OpenAI Codex is only available for users in our supported countries, regions and territories.

Beta Preview. Joining the Beta Preview waitlist does not guarantee that you will be provided access to OpenAI Codex during the Beta Preview. In addition, OpenAI can suspend or terminate the Beta Preview, remove you from the waitlist, or suspend or terminate your access to the Beta Preview, at any time, for any or no reason, and without notice. Just a reminder that your OpenAI API keys are personal to you. You are not permitted to share them, nor are you permitted to share access to OpenAI Codex with anyone else. Additional Disclaimers. The purpose of this Beta Preview is to test and evaluate OpenAI Codex and improve it based on user feedback and criticisms. The OpenAI Codex Beta Preview may have reduced or different privacy, security, or compliance commitments than other OpenAI products and services. OpenAI does not make any representations or warranties of non-infringement. Content generated by OpenAI Codex may be subject to third party licenses, including, without limitation, open source licenses. Given this, by joining the Beta Preview and using OpenAI Codex for any purpose, commercial or otherwise, you do so at your own risk.

Rights Related to Code Output. You and your end users may want to use Code Output freely, without worrying that OpenAI might claim it. Therefore, as between OpenAI and you (and your end users), OpenAI will not assert any rights in, or claim to, the Code Output other than license and use rights in these Preview Terms and the API Terms of Use (but excluding Section 2(b)), so long as you and your end users do not breach or violate any promises, covenants, obligations, representations or warranties with or made to OpenAI. “Code Output” means the source code generated by OpenAI Codex in response to your (or your end users’) prompts, and not any metadata, telemetry data, contextual data or the like.

Acceptable Use of OpenAI Codex. You are responsible for the content you create and anything you do with the assistance of OpenAI Codex. Use of OpenAI Codex in a manner that violates OpenAI’s Community Guidelines, Usage Guidelines, Safety Best Practices, Going Live Policy, or any other OpenAI policy is prohibited. Due to the experimental nature of the underlying technology, outputs from OpenAI Codex may sometimes result in unintended suggestions, including biased, discriminatory, abusive, or offensive outputs, or code capable of causing damage or injury when executed. OpenAI asks that you use judgment in disseminating such outputs, and refer to our Sharing and Publication Policy. OpenAI takes this challenge very seriously and is committed to addressing it with OpenAI Codex.

Privacy Statement. OpenAI will process your data (including personal data) in accordance with OpenAI’s Privacy Policy and the Preview Terms during the Beta Preview.

Terms of Use Update. OpenAI has updated its API Terms of Use as of August 6, 2021, partly in order to facilitate the Beta Preview, and you hereby accept such updated Terms of Use effective immediately.
